Terms of Service

Overview

These Terms of Service (“Terms”) govern your access to and use of all products and services operated by Nerd Enterprises, Inc. (“Nerd Enterprises,” “we,” “us,” or “our”), including:

  • Clean Books — AI-native accounting software (books.nerdenterprises.com)
  • Clean 1099s — 1099 information gathering and filing tool
  • The Nerd Enterprises website and any other tools, applications, or services we operate now or in the future

By taking affirmative action to check an “I agree” box or clicking an equivalent “continue” button when creating an account, you unambiguously manifest your assent to these Terms. If you do not agree, do not use our services.

Where specific products have additional terms, those are called out in dedicated sections below.

1. Our Products

1.1 Clean Books

Clean Books is a web-based accounting application that allows small businesses and accounting professionals to manage financial records, transactions, bank feeds, reports, documents, and related accounting functions. Clean Books is available under three subscription tiers:

  • Clean — designed for individual small business owners
  • Cleaner — designed for accounting professionals managing multiple clients
  • Cleanest — our most comprehensive tier for established accounting firms

1.2 Clean 1099s

Clean 1099s is a tool for collecting W-9 information from vendors and contractors and preparing 1099 tax forms. It is designed to simplify the annual 1099 filing process for small businesses and accounting professionals.

1.3 Future Products

Nerd Enterprises may introduce additional products under the Clean by Nerd Enterprises brand family. Such products will be governed by these Terms unless separate terms are provided.

1.4 Beta Services

From time to time, we may include new or updated beta features in the services. Beta features are provided on an “as is” basis and may contain errors or inaccuracies that could cause failures, corruption, or loss of data. You acknowledge and agree that all use of any beta feature is at your sole risk. Beta services are confidential until their official launch. If you use any beta services, you agree not to disclose any information about the beta services to anyone else without our permission.

2. Accounts

2.1 Eligibility

You must be at least 18 years old and legally authorized to enter into contracts in your jurisdiction to use our products. By creating an account, you represent that you meet these requirements.

2.2 Account Responsibility

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized account access at hello@nerdenterprises.com

We are not liable for losses resulting from unauthorized account access due to your failure to maintain credential security.

2.3 Accurate Information

You agree to provide accurate and current information when creating your account and to update it as needed. Accounts with false or misleading information may be terminated.

3. Subscriptions and Billing

3.1 Subscription Fees

Clean Books is a subscription service billed monthly or annually depending on your selected plan. Clean 1099s pricing is as described on its product page. We reserve the right to change pricing with at least 30 days advance notice to existing subscribers.

3.2 Billing

Subscription fees are billed through Stripe. By subscribing, you authorize Nerd Enterprises to charge your payment method on a recurring basis. All fees are in US dollars unless otherwise stated. In order to use this payment functionality, you must accept the Stripe Services Agreement and Privacy Policy. You authorize us to collect and share with Stripe your personal and financial information necessary to process your payments. Nerd Enterprises is not liable for any damages, claims, or liabilities arising out of or related to third-party payment products. Stripe will provide customer support for your Stripe account activity.

3.3 Free Trial

We may offer free trial periods for new accounts. At the end of a trial period, your account will automatically convert to a paid subscription unless you cancel before the trial ends. We will notify you between 7 and 30 days before any changes to your auto-renewal plan take effect or before your free trial converts to a paid subscription.

3.4 Cancellation

You may cancel your subscription at any time using the permanent “click to cancel” link or button provided directly in your account settings. The cancellation process will be as easy to use as the means you used to sign up. Upon cancellation, your account remains active through the end of the current billing period. No refunds are issued for unused portions of a billing period. Your data is retained for 30 days after account expiration, after which all of your data will be permanently and irrevocably deleted from all active systems, archival systems, and backups.

3.5 Refunds

We do not offer refunds except where required by law. If you believe you’ve been charged in error, contact us at billing@nerdenterprises.com within 30 days.

3.6 Discount Codes and Promotions

Discount codes are single-use, non-transferable, and subject to any terms stated at the time of issuance. We reserve the right to modify or discontinue promotions at any time.

3.7 Affiliate Program

We may operate an affiliate program allowing third parties to earn commissions by referring customers to our products. Affiliate terms are governed by a separate affiliate agreement provided upon enrollment.

4. Acceptable Use

4.1 Permitted Use

Our products are licensed for lawful purposes including accounting, financial record-keeping, tax preparation, and related business functions. By subscribing to Clean Books or Clean 1099s, you receive a limited, revocable license to access the digital service. You acknowledge that you are not “buying” or “purchasing” an unrestricted ownership right to the software or digital good itself.

4.2 Prohibited Use

You may not use any Nerd Enterprises product to:

  • Violate any applicable law or regulation
  • Store or process data related to illegal activities
  • Engage in money laundering, tax fraud, or financial crimes
  • Provide false or fraudulent information for 1099 filing purposes
  • Attempt to gain unauthorized access to our systems or other users’ data
  • Reverse engineer, decompile, or attempt to extract source code from our applications
  • Resell or sublicense access to our products without written authorization
  • Use our services in ways that could damage, disable, or impair their operation
  • Scrape or systematically extract data from our applications

4.3 Accounting Professionals

Accounting professionals using Cleaner or Cleanest tiers to manage client accounts are responsible for ensuring their use of our products complies with applicable professional standards, licensing requirements, and regulations in their jurisdiction.

5. Your Data

5.1 Ownership

You own your data. All financial records, tax information, documents, transactions, and other content you create or import in our products belong to you. We do not claim any ownership rights over your data.

5.2 License to Operate the Service

By using our products, you grant Nerd Enterprises, Inc. a limited, non-exclusive license to store, process, and display your data solely as necessary to provide the service to you.

5.3 Data Export

You may export your data at any time during your subscription using the export features within our applications. We guarantee the ability to export your data in a standard, machine-readable format (such as CSV or JSON) at no additional cost.

5.4 Accuracy

You are solely responsible for the accuracy, legality, and appropriateness of any data you enter into our products. We are not responsible for errors in your financial records or tax filings resulting from inaccurate data you provide.

6. Tax Filing (Clean 1099s)

Clean 1099s assists in the preparation and collection of information required for 1099 tax filings. Important limitations:

  • Clean 1099s is a tool, not a tax preparation service. We do not provide tax advice.
  • You are responsible for verifying the accuracy of all information before filing
  • You are responsible for meeting IRS deadlines and compliance requirements
  • We are not responsible for penalties, interest, or other consequences resulting from inaccurate filings or missed deadlines

We recommend consulting a qualified tax professional for guidance on your specific tax obligations.

Nerd Enterprises is not a financial planner, broker, or tax advisor. All decisions regarding the tax treatment of items reflected on tax returns prepared by you using the service are made solely by you, and you accept full responsibility for the preparation, content accuracy, and review of such returns. Nerd Enterprises will not be liable for any penalty, interest, or other liability that results from inaccurate or incomplete information you supply.

7. Bank Feeds and Third-Party Integrations (Clean Books)

Clean Books integrates with Plaid to provide bank feed functionality. Your use of bank feeds is subject to:

We are not responsible for the availability, accuracy, or security of data provided by Plaid or your financial institutions.

In order to access third-party products or services on your behalf, you may need to provide us with your login details. You hereby represent that you have the authority to provide these login details to us, and you expressly appoint Nerd Enterprises as your agent with limited power of attorney to access any third-party products or services and retrieve data on your behalf.

8. AI Features

Clean Books incorporates AI-powered features through the Claude API (Anthropic, PBC). These features are tools to assist with accounting tasks and are not a substitute for professional accounting judgment.

AI-generated suggestions, categorizations, or outputs may contain errors. You are responsible for reviewing and verifying all AI-assisted outputs before relying on them for financial or business decisions. Nerd Enterprises is not liable for decisions made based on AI-generated outputs.

9. Intellectual Property

9.1 Our IP

Our products, their interfaces, features, software, and content (excluding your data) are owned by Nerd Enterprises, Inc. and protected by intellectual property laws. The Clean Books name, Clean 1099s name, Clean by Nerd Enterprises brand, and associated logos and marks are trademarks of Nerd Enterprises, Inc.

You may not copy, modify, distribute, or create derivative works based on our products without our written permission.

9.2 Feedback

If you provide feedback, suggestions, or ideas about our products, you grant us a royalty-free, perpetual license to use that feedback in any way, including incorporating it into our products, without any obligation to you.

10. Disclaimer of Warranties

We are not a licensed accounting firm, CPA, financial advisor, or tax professional. Nothing in our products constitutes professional accounting, financial, tax, or legal advice. You should consult qualified professionals for such advice.

Nerd Enterprises is not in the business of providing legal, financial, accounting, tax, health care, real estate or other professional services or advice; consult the services of a competent professional when you need this type of assistance. Nerd Enterprises disclaims any representations or warranties that your use of the services will satisfy or ensure compliance with any legal obligations, laws, or regulations.

11. Limitation of Liability

12. Indemnification

You agree to indemnify and hold harmless Nerd Enterprises, Inc. and its officers, employees, and agents from any claims, damages, liabilities, or expenses (including reasonable attorney fees) arising from:

  • Your use of our products in violation of these Terms
  • Your violation of any applicable law or third-party right
  • Any data you enter, import, or store in our products
  • Any tax filing prepared using Clean 1099s based on information you provided

13. Termination

13.1 By You

You may terminate your account at any time by canceling your subscription through your account settings.

13.2 By Us

We may suspend or terminate your account if:

  • You violate these Terms
  • We are required to do so by law
  • Your account is used for fraudulent or illegal purposes
  • We discontinue the service (with at least 30 days advance notice)

Upon termination for cause, we are not obligated to refund any fees.

14. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue any part of our products at any time. We will provide reasonable notice of significant changes.

We may update these Terms from time to time. Material changes will be communicated via email and/or in-app notification. Your continued use of our products after a Terms update constitutes acceptance.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law provisions.

Any dispute arising from these Terms or your use of our products shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Los Angeles County, California, under the rules of JAMS, except that either party may seek injunctive relief in court for intellectual property claims. You have the right to opt out of binding arbitration if you provide us with written notice at our contact address. To be effective, the arbitration opt-out notice must contain your name, the date, your email address, and a statement expressing your desire to opt out of binding arbitration, and it must be received by us within 30 days of the date you first subscribe to our services.

Notwithstanding this agreement to arbitrate, if a dispute may be adjudicated pursuant to the California Small Claims Act, California consumers shall be given the option to have the dispute adjudicated in small-claims court. Furthermore, California consumers will not be required to arbitrate controversies arising in California outside of the state, nor under the substantive law of another state.

Any proceedings to resolve or litigate any dispute in any forum must be conducted solely on an individual basis. Neither you nor we may seek to have any dispute heard as a class action, a representative action, a collective action, a private attorney-general action, or in any proceeding in which you or we act or propose to act in a representative capacity.

16. General

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nerd Enterprises, Inc. regarding our products
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in effect
  • No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future
  • Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights without restriction
  • You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties. You will not export or re-export the software, or any portion thereof, directly or indirectly, in violation of applicable Canadian and U.S. export administration laws and regulations.

18. Privacy & Security

As a handler of financial and 1099 tax information, Nerd Enterprises, Inc. develops, implements, and maintains a comprehensive Written Information Security Plan (WISP) to protect your nonpublic personal information as required by the FTC Safeguards Rule of the Gramm-Leach-Bliley Act (GLBA).
